This User Agreement (hereinafter referred to as the “Agreement”) is a public offer in accordance with Article 633 of the Civil Code of Ukraine and governs the relationship between 168.FAN (hereinafter referred to as the “Provider”), and you, the individual using the website and services (hereinafter referred to as the “User”). By accessing or using the website 168.fan (hereinafter referred to as the “Website”) and/or the services provided, including consulting services and online tools (hereinafter collectively referred to as the “Services”), the User agrees to be bound by the terms of this Agreement.
1.1. Scope of the Agreement: This Agreement regulates the provision of consulting services and access to online tools provided by the Provider through the Website, including but not limited to personal consulting and software tools, in accordance with Ukrainian legislation.
1.2. Acceptance of Terms: By registering on the Website, accessing the Services, or making a payment for the Services, the User confirms full and unconditional acceptance of this Agreement, as stipulated by Article 642 of the Civil Code of Ukraine. The Agreement is considered concluded upon the User’s first interaction with the Services or payment confirmation.
1.3. Language: This Agreement is drafted in Ukrainian, in compliance with the Law of Ukraine “On Ensuring the Functioning of the Ukrainian Language as the State Language.” An English version is provided for convenience, but in case of discrepancies, the Ukrainian version shall prevail.
1.4. Applicability: This Agreement applies to all Users accessing the Website or Services from Ukraine or abroad, subject to applicable Ukrainian laws.
2.1. Website: The online platform located at 168.fan, including all subdomains and associated applications, owned and operated by the Provider.
2.2. Services: Consulting services and online tools provided through the Website.
2.3. User: Any individual who accesses or uses the Website or Services, including registered and non-registered users.
2.4. Personal Data: Information or a set of information about an individual User who is identified or can be specifically identified, processed in accordance with the Law of Ukraine “On Personal Data Protection.”
2.5. Online Tools: Software, applications, or digital resources provided through the Website for User interaction, data processing, or other functionalities.

5.1. Registration: To access certain Services, the User must create an account by providing accurate information in the registration form. The User is responsible for maintaining the confidentiality of their account credentials.
5.2. Access to Online Tools: Access to online tools may require additional authentication or subscription, as specified on the Website.
5.3. Suspension or Termination: The Provider reserves the right to suspend or terminate a User’s account for violation of this Agreement, non-payment, or suspected fraudulent activity.
6.1. Pricing: The cost of Services is specified on the Website and may be subject to change. All prices are inclusive of applicable taxes unless otherwise stated.
6.2. Payment Terms: Payments are processed through secure payment systems integrated into the Website. The User agrees to pay for Services in advance or as specified in the payment terms.
6.3. Tax Compliance: The User is responsible for complying with applicable tax regulations related to the use of Services, including personal income tax.
6.4. Refunds: Refunds, if applicable, are governed by the refund policy published on the Website. No refunds are provided for partially used Services unless required by Ukrainian law.
7.1. Ownership: All content, software, and materials on the Website, including online tools, are the intellectual property of the Provider or its licensors and are protected by Ukrainian and international intellectual property laws.
7.2. License: The Provider grants the User a non-exclusive, non-transferable, revocable license to use the online tools for personal or business purposes, subject to this Agreement.
7.3. Restrictions: The User may not copy, modify, distribute, or reverse-engineer any part of the Website or online tools without prior written consent from the Provider.
8.1. Data Processing: The Provider processes User Personal Data in accordance with the Law of Ukraine “On Personal Data Protection” and the Website’s Privacy Policy, available at 168.fan/privacy
8.2. Consent: By using the Services, the User consents to the collection, processing, and storage of their Personal Data as described in the Privacy Policy.
8.3. Cross-Border Data Transfer: If Personal Data is transferred outside Ukraine, the Provider ensures compliance with applicable data protection regulations, including the EU-Ukraine Association Agreement and GDPR principles, where relevant.
9.1. Confidential Information: Any information provided by the Provider to the User during the provision of consulting services or use of online tools is considered confidential and may not be disclosed to third parties without prior written consent, except as required by law.
9.2. Non-Disclosure Agreements: For specific consulting services, the Provider may require the User to enter into a separate non-disclosure agreement (NDA). Note that enforceability of NDAs in Ukraine may be limited under certain conditions, and Users are advised to consult a lawyer for cross-border agreements.
10.1. Governing Law: This Agreement is governed by the laws of Ukraine, including the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce.”
10.2. Negotiation: Any disputes arising from this Agreement shall be resolved through negotiations between the parties within 30 calendar days of written notification of the dispute.
10.3. Jurisdiction: If negotiations fail, disputes shall be resolved in the competent courts of Ukraine under Ukrainian law, unless otherwise agreed in writing.
11.1. Term: This Agreement takes effect upon the User’s acceptance and remains in force until terminated by either party.
11.2. Termination by User: The User may terminate this Agreement by ceasing to use the Services and deleting their account.
11.3. Termination by Provider: The Provider may terminate this Agreement with immediate effect if the User violates its terms or engages in activities that harm the Website or Services.
12.1. Force Majeure: The Provider is not liable for failure to perform obligations due to force majeure events, as defined by Article 617 of the Civil Code of Ukraine, including but not limited to war, natural disasters, or governmental restrictions.
12.2. Amendments: The Provider may amend this Agreement at any time by posting the updated version on the Website. Continued use of the Services constitutes acceptance of the amendments.
12.3. Electronic Contracts: This Agreement may be concluded electronically, and electronic signatures, where applicable, are recognized under the Law of Ukraine “On Electronic Trust Services.”
12.4. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.6. Compliance with Sanctions: The Provider complies with Ukrainian and international sanctions regimes, including restrictions related to Russia, and reserves the right to refuse service to individuals or entities subject to such sanctions.
